Distance Sales Agreement

Article 1 — Parties

Seller: Yula Bilgi Teknolojileri Sanayi ve Ticaret İthalat İhracat Limited Şirketi (Akasya Mah. 170. Sk. Buyer: the individual or legal entity who confirms an order by providing identity and contact details through the registration/checkout form on babbagedigital.com — "Buyer".

Article 2 — Subject

This Agreement governs the sale and performance of the Platform subscription service ordered electronically by the Buyer through babbagedigital.com, and sets out the parties' rights and obligations under Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

Article 3 — Key Features and Price of the Service

The key features, term and price of the service are shown on screen before payment, based on the package the Buyer selects, and are detailed in the Pre-Contract Information Form, which forms an integral part of this Agreement. Current package scope and indicative USD pricing:

The final TRY amount, including the exchange rate on the day of payment and applicable VAT, is shown to the Buyer on the payment confirmation screen. No automatic renewal charge is made to the Buyer's card.

Article 4 — Payment and Invoicing

Payment is taken by card through the PayTR Ödeme Kuruluşu A.Ş. infrastructure. Card details never reach the Seller's systems. The Buyer is responsible for accurately declaring their Turkish national ID number for individual invoicing, or company name/tax office/tax number for corporate invoicing; the Buyer bears responsibility for any inaccurate or incomplete declaration.

Article 5 — Performance and Delivery

As the service is immaterial/digital, there is no physical delivery. Following payment confirmation, the Buyer's account is activated; the store/data source connection is completed between the Seller's onboarding team and the Buyer within a reasonable time.

Article 6 — Right of Withdrawal

Under Article 15(1)(ğ) of the Distance Contracts Regulation, there is no right of withdrawal for contracts on services performed immediately in electronic form and for services whose performance has begun with the consumer's consent. By confirming payment, the Buyer agrees that performance begins at their own explicit request before the withdrawal period would otherwise expire, and acknowledges that the right of withdrawal ends accordingly. See Article 4 of the Pre-Contract Information Form for details.

Article 7 — General Provisions

1. The Buyer confirms having been informed by the Seller of the key features, price, payment method and the exception to the right of withdrawal, and confirms this electronically.
2. If performance becomes impossible due to force majeure or another justified reason, the Seller will inform the Buyer and either refund the price or, after a reasonable waiting period, leave the choice to the Buyer.
3. The Buyer must use the service in accordance with the Terms of Service, which is to be read together with this Agreement.
4. Processing of the Buyer's personal data is covered by the Privacy Notice.

Article 8 — Dispute Resolution

Disputes arising from this Agreement, within the monetary thresholds announced annually by Turkey's Ministry of Trade, fall under the jurisdiction of the Consumer Arbitration Committee at the consumer's residence or place of transaction; above those thresholds, the Consumer Courts have jurisdiction.

Article 9 — Entry into Force

The Buyer electronically confirms having read and accepted this Agreement and the Pre-Contract Information Form at the order/payment step; this Agreement enters into force upon that confirmation. The date, time and order summary at the moment of confirmation are recorded by the Seller.
